ARTIST ONBOARDING TERMS AND CONDITIONS

THE FOLLOWING ARTIST ONBOARDING TERMS AND CONDITIONS (“T&C”/ “TERMS”) ARE IN RESPECT TO THE FACILITY OFFERED BY SPLANG ATELIER FOR THE SALON ARTISTS, MADE AVAILABLE THROUGH SPLANG ATELIER’S WEBSITE  https://www.splangit.com/ AND SHALL BE APPLICABLE TO ALL THE SALON ARTISTS WHO VOLUNTARILY CHOOSE AND TO DESIRE TO BOOK A TIME SLOT AT SPLANG ATELIER’S BEAUTY WORKING SPACE.
PLEASE READ THE TERMS CAREFULLY. THESE TERMS CONSTITUTE A FORMAL AGREEMENT “AGREEMENT” BETWEEN SPLANG ATELIER AND THE SALON ARTIST. THE TERMS ARE EFFECTIVE UPON ACCEPTANCE AND SHALL GOVERN THE RELATIONSHIP BETWEEN SPLANG ATELIER AND SALON ARTIST.

1.  INTRODUCTION

Welcome to Platform that is absolutely owned and operated by Splang Atelier Private Limited an Indian Company registered under the Companies Act, 2013, having registered office at 1404, Plot No 5&6, SEC 16A, Navi Mumbai, Sanpada, Thane, Maharashtra, 400705 (“Company”/ “Splang Atelier”/“we”/ “our”/ “us”).
We offer a fully equipped, shared working space designed specifically for professionals in the beauty and hair services industry. Our facility caters to a professional salon setup requirement of every Salon Artist. With premium infrastructure, modern tools, quality products and a professional ambience, we provide an ideal environment that supports independent beauty professionals in delivering their beauty services without the overhead of owning a full salon. By Registering on the Platform and booking a time slot/session booking at our Facility, you acknowledge and agree to be bound by these Terms.

2. DEFINITIONS

  • Client” shall mean individuals who seek to avail beauty services or have booked beauty services of respective Salon Artist Registered over the Platform
  • Register” shall mean registering to the Platform or any other links/dashboards/webpages created on the Platform to avail the Facility provided by the Platform on the basis of conditions mentioned in this Terms.
  • Facility” shall mean the shared beauty working space/premises as maybe updated on the Platform from time to time comprising of the requisite beauty industry set up including but not limited to appropriate equipment, styling tools, chairs, mirrors, materials, hair steamer, beauty products catering to the needs of hair services.
  • Platform” shall mean https://www.splangit.com/ owned, run, operated and managed by the Company.
  • Salon Artist/You/Your” shall mean an individual beauty professional whether specialized or not who provides beauty, grooming services in a particular or across multiple verticals including, but not limited to, hair styling, hair cutting, hair coloring, skincare, facials, body treatments, nail care, manicure, pedicure, makeup artistry, and related services and shall include Doctors who shall be providing consultation on beauty aspects. This term includes both certified professionals and experienced practitioners who independently engage in offering such services to clients.
  • Session Booking” shall mean time slot (ranging from 1 to 10 hours) that a Salon Artist or a Doctor may book with the Platform for rendering beauty Services to Clients.
  • Doctor” shall mean doctors engaged in the beauty industry such as cosmetologist, dermatologist, plastic surgeon registered on Platform and who has valid registration with of Medical Council of India (MCI) or National Medical Commission (NMC).

3. SCOPE

  • The Facility is made available on a shared-use basis. Each Salon Artist who has Registered over the Platform is permitted to use the space simultaneously with other Salon Artists during the time slot booked by them.
  • Session Booking on the Platform will reserve one or multiple chairs exclusively for the respective Salon Artist along with the requisite amenities thereto during that timeframe.

  • Salon Artist can bring in his/her own set of Clients and supporting stylist, helper to provide the necessary beauty and hair services as desired by the Clients.

  • Salon Artist may purchase and use merchandise of branded beauty products displayed at the Facility. We do not guarantee the suitability of any product for a particular purpose. However, this is entirely optional and Salon Artists are free to bring and use their own products and tools if they prefer. The Facility has a dedicated space for conducting training sessions and technique/skill enhancement programs for Salon Artists, hosted/facilitated by national and/or international industry experts. Desirous Salon Artists can participate in such trainings at their own will subject to payment of any fees as maybe applicable.
  • Access to the Facility is limited to the duration of the Session Booking

4. REGISTRATION AND ONBOARDING

  • For Salon Artist to avail the Services offered by the Platform, they must register over the Platform and become a Splangit member for a minimum period of 2 years. At the time of registration, the Salon Artist shall pay the fees/ charges as may be explicitly communicated to the Salon Artist or displayed on the Platform from time to time for using the Services (“Registration Fee”). Once the registration is successfully completed, the account profile (“Account”) will be created by the Platform.  This pre-booking of desired day/days and timeslots using the Platform is mandatory and walk-in use of the Facility without prior booking is not permitted.
  • Salon Artist can register on the Platform in an individual capacity via website link or through sign-up provision on the web-portal. You are required to provide personal details while registering on the Platform, including without limitation full name, address, state, email address, phone number, Aadhar card, PAN card, beauty service category/specialty, social media handle. The information provided by You shall be subject to verification procedure conducted by the Platform in order to check the authenticity, and ensure fulfilment of all subscription norms, procedures and documentation. Upon successful completion of verification, their Account will be created.
  • Access to the Facility is limited to the duration of the booking. Early arrivals or late departures beyond a grace period (typically 10 minutes) may incur additional charges or refusal of access. Any delays by Clients shall not be allowed to extend the Session Bookings. If there is availability of next slot we may accommodate subject to receiving payment for such an extended slot.
  • Salon Artist agrees that at the time of registration, that the information provided by them shall always be accurate, correct and complete. You shall be responsible for maintaining the confidentiality of login ID and password and You agree to accept responsibility for all activities that occur under Your Account.
  • In the event Salon Artists share Account credentials with any person or entity other than themselves, or if a third party accesses Salon Artist’s Account due to any security lapse or breach within your web/mobile device, Salon Artist fully understand the risk/cost associated with such action, including the sharing or hacking of confidential information and personally identifiable information. You agree not to hold the Facility, Platform responsible or liable for any unethical/illegal transactions or activities carried out by the individual in possession of their login ID and password. You are required to provide any additional information as requested by the Platform from time -to- time. We also reserve the right to refuse registration or delete accounts at our sole discretion. You agree to abide by all applicable laws and regulations and acknowledge that You are solely responsible for all acts or omissions committed using Your Account. You must not set up an account on behalf of another individual or entity unless You are specifically authorized to do so.
  • You agree to promptly update the email address associated with Your account to keep it accurate so that we can contact at any given point of time. The Platform will not ask you to share sensitive information such as your debit card/credit card number, CVV, expiry date, PIN, password, or login id with anyone. Any such actions taken by You are entirely at Your own risk and Company absolves itself of any liability resulting from such actions.

5. REPRESENTATIONS AND WARRANTIES

  2. He/she is a qualified and/or experienced beauty and wellness professional competent to provide beauty services. Where applicable, you hold valid certifications, licenses, or approvals required to practice in your respective field of service.
  3. Where the Salon Artist is a Doctor providing consultation at the Facility, they must submit their MBBS degree, MD degree if any and relevant certifications of registration with Medical Council of India (MCI) or National Medical Commission (NMC).
  4. It shall comply with all applicable local, state, and national laws, regulations, and industry standards governing hygiene, Client safety, and professional conduct.
  5. Any Beauty Service offered or provided to Clients is based on his/her own professional discretion and expertise (not as per the policy/standard of the Facility) and hence shall be solely responsible for any claims, grievances thereto. There shall be no direct, absolute or any kind of relationship between Facility and Client.
  6. He/she shall follow all safety, sanitation, and hygiene protocols as advised by the Company or mandated under applicable health laws or followed as industry practice, and take strict safety, precautionary measures to avoid any kind of spreading of allergies, infections, contagious diseases. He/she has the right, power and authority to enter into these Terms and to perform all of its respective obligations under these Terms and that the performance of such obligations shall not conflict with or result in a breach of any agreement to which it is a party or is otherwise bound.

6. OBLIGATIONS OF THE SALON ARTIST

  • Professional Conduct:
  1. Salon Artist is solely responsible for the services provided to it’s Clients during the booking slot, including client satisfaction, hygiene, safety, and compliance with applicable health and sanitation norms.
  2. Salon Artist shall be solely liable to collect payments from Clients, and the Company shall not be liable or responsible in whatsoever manner, unless it is mutually agreed in writing. Company does not assume responsibility for disputes between you and your Clients, or for service-related dissatisfaction, allergies, injuries, or other Client-related issues. Salon artist is solely responsible for any third-party claims, demands, grievances received from Client thereto.
  3. Salon Artist must ensure professional conduct at all times while at the Facility. Any irresponsible behavior, misconduct, harassment, or disruption may result in immediate termination of access and the Salon Artist shall in such case immediately vacate the premises.
  4. Salon Artist must satisfactorily clean up the space after providing services to it’s Clients at the premises and keep all equipment back to its place in strict manner.
  5. Salon Artist shall not solicit other Salon Artists’ clients, interfere with their work, or misuse confidential or competitive information.
  6. Salon Artist shall immediately send back any Client who is deemed to be intoxicated or under substance abuse from a prudent inference. Any uncalled chaos created by Client or the Salon Artist under such circumstances will not be entertained.
  7. The Salon Artist shall at all times ensure that, no unethical or illegal activities are carried out in the shared workspace and must promptly report to our authorized personnel if he/she comes across any such activity.
  8. In the event if the Salon Artist booked Facility location wrongfully, then the Platform shall not be liable to grant access to other Facility location and or grant refund of such fees paid.
  • Use of Tools, Equipment and Products:
  1. We may provide access to standard tools and equipment (e.g., salon chairs, dryers, mirrors, clips, tissues, combs, trolleys, etc.) at our Facility premises. Salon Artist must use these items responsibly with due care and return it in the same condition, except normal wear and tear.
  2. For accessing other professional equipment such as hair steamer, necessary rental charges must be paid by the Salon Artist either in advance or at the time of providing the beauty services to Clients, subject to their availability.
  3. Salon Artist may bring it’s own equipment, products contingent to they being of good quality and subject to prior disclosure and Company approval. Salon Artist agrees and acknowledges that substandard products, equipment and services have a negative impact on Facility’s reputation and such conduct must be avoided at all costs.
  4. Any damage to the Facility or equipment caused during your usage shall be Salon Artist’s liability, and the Company reserves the right to recover costs from Salon Artist accordingly.

 

  • Hygiene and Cleanliness:
  1. Each Salon Artist is required to clean and disinfect their workstation before and after use of the shared work-space.
  2. Waste materials (e.g., hair, used tissues, product containers) must be disposed of properly in designated bins.
  3. Company reserves the right to carry out periodic inspections and may issue warnings or restrict usage for non-compliance.
  • Other Responsibilities:
  1. The Facility provides the feature and technology to videorecord the beauty services rendered by the Salon Artist to the Clients. If the Salon Artist wishes to avail this feature, it can be done so, only after obtaining prior consent of the Client. It is the responsibility of Salon Artist to expressly inform the Client of the possibility of such video being uploaded on the Company’s or Salon Artist’s social media handle. The Salon Artist must strictly ensure that no other Client present at the Facility is being recorded in such videos. Privacy of the Clients is paramount and must be respected at all costs.
  2. Salon Artist must at all times strictly maintain the privacy of the Client. Nothing should be recorded, posted on social media or anywhere else to which Client has not consented.
  3. The Salon Artist shall not act or fail to act in any manner that will tarnish the reputation of the Company whatsoever.

7. PAYMENT TERMS

  • The Salon Artist shall ensure proper selection of Facility location.
  • All Session Bookings are to be paid in advance as per the rate communicated at the time of booking over the Platform. The charges applicable to each Session Booking are determined based on the duration of the selected time slot. The charges applicable may vary depending on the duration of Session Booking and are subject to change from time to time at the sole discretion of the Platform. Upon successfully booking a time slot through the Platform, you (the Salon Artist) will be directed to a payment gateway to complete the payment of the applicable Session Booking charges. Charges/prices, fees, and associated charges may be updated periodically without prior notice. It is your responsibility to review the charges before making any payment. Platform shall display costs pertaining to Services, applicable taxes and any other charges in connection with your use of our Services. All payments required by these Terms of Use are exclusive of all taxes, duties, levies, fines, or similar governmental assessments. You shall be responsible for all taxes associated with use of Services.
  • Subject to clause 8 Payments are non-refundable. The Company may, at its sole discretion, consider credit or rescheduling in case of valid emergencies.
  • In the event where, the Salon Artist does not turn up at the pre-booked schedule or if the client does not turn up at the pre-booked schedule, the payment made shall not be refunded.

8. CANCELLATION, REFUND AND RESHCEDULING 

In the event that a Salon Artist wishes to cancel the Session Booking secured over the Platform, such cancellation must be made within 24 hours from the time of booking the Session Booking via Platform to be eligible for a 100% refund of the charges paid. If the cancellation is made after the 24-hour window has lapsed, only 50% of the amount paid will be refunded.
However, the Company does not allow rescheduling of the Session Booking done via Platform once they are booked. If change in timing is required, the original Session Booking must be cancelled as per the above policy, and a new booking must be made separately.

9. INDEMNIFICATION

The Salon Artist shall defend, indemnify and hold harmless the Company from and against any and all liability, suits, claims, actions, proceedings, losses, damages, judgments and costs (each, a “Claim”) caused due to non-compliance of the terms and conditions of this Agreement, Terms of Use and Privacy Policy of the Platform, non-compliance of any laws and regulations or any loss caused due to negligent manner of working of the Salon Artist or his/her employees, third party allegations regarding (i) bodily injury caused to client by any negligent, harsh use of beauty equipment, machines or otherwise; (ii) failing, spoiling the look after the services or any other discrepancies (iii) allergic reactions, skin irritation/conditions, infection developed after the service session (iv) Salon Artist’s breach of any terms and conditions of this Agreement; (v)misconduct and misbehavior by the Salon artist; (vi) unhygienic approach of work.

10. LIABILITY LIMITATIONS

  • Notwithstanding any other term of this Agreement to the contrary, in no event  Company shall be liable to the Salon Artist or any third party for any indirect, special, incidental, consequential, punitive or exemplary damages or loss of any kind (including but not limited to loss of profit, loss of revenues and the like) howsoever caused, in connection with the activities whether arising out of contract, tort (including without limitation to negligence).
  • The maximum extent of liability of Company in respect of any claim arising out of the Agreement shall in no event exceed the cost of the latest/last Session Booking amount paid by Salon Artist at the time of booking slot.

11. DISCLAIMER

  • The Salon Artist acknowledges and agrees that access to the Facility is subject to prior booking through the Company’s Platform and is strictly based on availability. The Company does not guarantee the availability of the Facility at all times, and the successful booking of a time slot is contingent upon current scheduling and capacity constraints. The Company shall not be held liable for any unavailability of the Facility or for any inconvenience or loss resulting from the inability to secure a desired time slot.
  • Company assumes no responsibility or liability towards the nature or quality of beauty Services rendered by Salon Artist or any disputes, claims, or disagreements arising between the Client/User and the Salon Artist in relation to Beauty Service delivery, outcome/consequences after the Beauty Service delivery or payment.
  • It is recommended that the Doctors registered over the Platform shall use the Session Booking only to provide beauty Services consultation and the Facility shall not be used for prescribing any medical advice or prescription medication. Any medical advice, prescription, diagnosis, or treatment provided by a Doctor to a Client at the Facility is rendered solely in the Doctor’s independent personal capacity on his/her own letter head prescription. The Facility does not endorse or take responsibility for any medical or professional opinions or consultations provided by the Doctor. Company shall not be liable for any loss, injury, damage, or adverse outcome arising from the Client’s reliance on or use of such medical advice, consultation or treatment by Salon Artists.  We do not guarantee the suitability of any product for a particular purpose.

12. TERMINATION:

  • The Company shall have a right to terminate the pre-booked schedule at anytime at it’s sole discretion for valid reasons. Notwithstanding the aforesaid, the Company reserves the right to discontinue and/or terminate the services of Salon Artist for (i) negligence, misconduct by Salon Artist; (ii) breach of terms of this Agreement; (iii) for convenience; (iv) for unruly or unethical behavior of Salon Artists’ client.; (v) in case Salon Artist is found guilty of any crime are or restricted/prohibited by courts or any authorities to provide these services.
  • Post termination the Salon Artist is not allowed to book slots with the Platform.

13. FORCE MAJEURE:

In the event that either Party is prevented from performing any of its obligations under this Agreement due to causes beyond its reasonable control, including but not limited to acts of God, government regulations, war, terrorism, lockdown, pandemic, natural disasters, flood, tsunami, earthquake, fire, curfew, strikes, or any other unforeseeable and uncontrollable events (hereinafter referred to as “Force Majeure Event”), the affected Party shall promptly notify the other Party of the occurrence of such event and the expected impact on its performance.
During the period of the Force Majeure Event, the affected Party’s performance under this Agreement shall be suspended to the extent directly caused by the Force Majeure Event, and the affected Party shall make reasonable efforts to mitigate the effects of the Force Majeure Event.
Notwithstanding the foregoing, the Party invoking Force Majeure shall make reasonable efforts to resume performance as soon as practicable, and the Parties shall consult in good faith to explore alternative means of fulfilling the affected obligations during the Force Majeure Event.
If the Force Majeure Event continues for an extended period of more than 30 days, the other Party may, at its discretion, terminate this Agreement without liability by providing written notice to the other Party.

14. NO EMPLOYEE EMPLOYER RELATIONSHIP:

The Parties shall act as independent contractors and neither Party shall act as agent for or partner of the other Party for any purpose whatsoever for rendering services to the Client, and the employees of one shall not be deemed the employees of the other. The officers and employees of one Party shall not be deemed to be the employees of the other Party.

15. GOVERNING LAWS AND DISPUTE RESOLUTION:

This Agreement shall be governed by and construed according to the laws of India. Both Company  and Salon Artist hereby agrees to submit to exclusive jurisdiction of the courts of Mumbai, India.
Disputes or differences if any, arising out of this Agreement, including any disputes with regard to interpretation of any of the clause of this Agreement shall be resolved by mutual amicable discussion between the Parties and if no resolution so arrived at within 30 (Thirty) days, it shall be  referred to a sole arbitrator mutually agreed by the Parties, as per the provisions of Arbitration and Conciliation Act 1996. The arbitration shall be held at Mumbai. In case Parties are unable to identify sole arbitrator within 1 month, each Party shall nominate one arbitrator, and the two arbitrators shall appoint a third arbitrator known as presiding arbitrator. The arbitration proceedings shall be conducted in English language.

16. NOTICE:

Any notice or other information required by this Agreement to be given by either Party to the other may be given by email or sent by registered post or by courier to the other Party at the last known address which may be intimated or at the address mentioned in the Agreement. Any change in the address shall be duly notified to the other Party in writing.

17. ASSIGNMENT:

Neither Party hereto may assign or otherwise transfer its rights and obligations under this Agreement, except to any parent or subsidiary corporation or to any purchaser of the business which agrees to assume the obligations hereunder.

18. ENTIRE AGREEMENT:

This Agreement and the accompanying Annexure if any constitute the entire agreement between the Parties with respect to the subject matter hereof and supersede all other communications, whether written or oral. This Agreement may be modified or amended only by writing signed by the Party against whom enforcement is sought.

19. SEVERABILITY:

Any provision hereof found by a tribunal of competent jurisdiction to be illegal or unenforceable shall be automatically conformed to the minimum requirements of law and all other provisions shall remain in full force and effect.

20. NON-WAIVER:

Waiver of any provision hereof in one instance shall not preclude enforcement thereof on future occasions.

21. CHANGES TO THIS POLICY

Amendments to these Terms will be posted to this Platform and will be effective when posted. Your continued use of this Platform following the posting of any amendment, modification, or change shall constitute your acceptance of the amendment. Please check our Terms on a regular basis.
